End User License Agreement (EULA) — eqlypse

1. The parties

This agreement (the "Agreement") is between you (the "User") and dhreian ("dhreian", "we"), the name under which Luis Andrés Melita Cruces, of Cañete, Chile, publishes and licenses the eqlypse plugin (the "Software"). You can reach us at contact@dhreian.com.

By installing, activating or using the Software you accept this Agreement. If you do not agree, do not buy, install or use it. Sales are final: see the Refund Policy.

2. How you buy: Lemon Squeezy

The license is sold through Lemon Squeezy, which acts as Merchant of Record: it collects the payment, calculates and remits the applicable taxes, issues the receipt and processes payments. This Agreement is the license dhreian grants you for the Software; the purchase itself is also governed by Lemon Squeezy's Buyer Terms. For use of the Software, this Agreement prevails; for payment and taxes, Lemon Squeezy's terms prevail.

3. Definitions

  • Software: the eqlypse plugin in VST3 format for Windows, its installer, the factory presets, the documentation and the updates dhreian provides to you.
  • License key: the code you receive by email when you buy.
  • Activation: the record, on Lemon Squeezy's servers, that your key is in use on a computer.
  • Computer: a Windows machine (physical or virtual) where you activate the Software. The activation covers every Windows user account on that machine.

4. The license granted to you

4.1. In exchange for the one-time payment and as long as you comply with this Agreement, dhreian grants you a personal, non-exclusive, non-transferable, non-sublicensable license to install and use the Software, worldwide and with no expiry date. The updates included are described in section 9.

4.2. One license per user. Each license is for one person: you. You may have it active on up to 3 computers at the same time (for example, your studio computer and your laptop), as long as you are the person using those computers with that license. Anyone else (collaborators, employees, students) needs their own license.

4.3. Commercial use allowed. You may use the Software to produce, mix and master your own or third parties' audio, including for commercial purposes. We claim no rights over the audio you process or create with it, and we charge no royalties.

4.4. Instances. Loading the plugin several times, in several projects or from different DAWs on the same computer, or from different Windows accounts on that computer, does not use additional activations.

4.5. The Software is licensed, not sold. dhreian reserves all rights not expressly granted to you in this Agreement.

5. No trial version

5.1. The Software has no trial version: you need an active license to use it. Until you activate a license on a computer, the plugin lets the audio through unprocessed and opens the license window so you can enter your key.

5.2. No refunds. Since there is no trial, check the requirements and the product description before buying. Sales are final and are not refunded, except for duplicate or mistaken charges, as set out in the Refund Policy. If the Software does not work on your system, write to us and we will help you sort it out.

6. Activation, verification and deactivation

6.1. Activating. In the plugin, open Settings (gear icon) → License..., paste the key from your purchase email and confirm. You need an internet connection at that moment. The activation is recorded at Lemon Squeezy together with an activation name of the form Windows-1a2b3c4d, a short code derived from the computer (more details in the Privacy Policy).

6.2. Limit. Each key can be active on up to 3 computers at a time. The limit is enforced by Lemon Squeezy's server: if you try to activate one more computer, the activation is rejected.

6.3. Verification. While the license is active, the plugin verifies it with Lemon Squeezy in the background every 24 hours. If there is no internet connection, it keeps working for up to 7 days after the last successful verification; after that it asks you to connect once (the Verify button) and, in the meantime, the audio passes through unprocessed. A temporary network or license-service failure does not remove your license.

6.4. Changing computers. To free an activation, open Settings → License... and press Deactivate; you can then use the key on another computer. If you can no longer do that (broken, lost or wiped computer), write to contact@dhreian.com and we will help you free it.

6.5. Reversed purchase or disabled key. If your purchase is reversed (chargeback, fraud or a refund issued by Lemon Squeezy), or if we disable the key because you breached this Agreement, the next verification removes the activation from the computer and the Software returns to the unlicensed state (the audio passes through unprocessed). With a connection, this happens at the next verification (every 24 hours); without one, the plugin stops processing no later than 7 days after the last successful verification. Once the license is no longer valid you must stop using the Software.

6.6. Local data and time limits. The license state is stored encrypted and tied to the computer's hardware, in a location shared by every Windows account; copying it to another computer does not work. So that the offline period cannot be stretched, the plugin compares its time with the time Windows records on the computer: if the clock was set back, it asks you to verify the license online. When you uninstall, the uninstaller releases the computer's activation and deletes the local state; without a connection it keeps them, so that reinstalling does not use another activation. The time limits in this section (24 hours and 7 days) are the current ones; they may be adjusted in future versions, and the product page will state the ones in force.

7. What you may not do

You may not, and may not allow others to:

a) sell, resell, rent, lend, give away, sublicense or transfer the Software or your license; b) share or publish your license key, or use generated or unauthorized keys; c) use a license on more computers than permitted or by more than one person; d) decompile, disassemble, reverse engineer or attempt to obtain the Software's source code, except to the extent applicable law expressly permits it despite this prohibition; e) circumvent, disable or tamper with the licensing system (for example, by modifying or deleting the license data, moving the system clock forward or back, or interfering with communication with Lemon Squeezy); f) copy or redistribute the Software or parts of it (including the factory presets, graphics and embedded fonts), except as permitted by each component's own license (section 8); g) remove or alter the Software's proprietary notices; or h) use the Software in a way that violates the law or third-party rights.

The presets and settings you create yourself are yours, and you may share them freely.

8. Intellectual property and third-party components

8.1. The Software (its code, design, graphics and documentation) belongs to dhreian or its licensors and is protected by intellectual property laws. "eqlypse", "dhreian" and their logos identify dhreian, and this Agreement grants you no right to use them.

8.2. The Software includes third-party components — among them the JUCE framework, used under a commercial license, and the Montserrat and Quintessential typefaces, licensed under the SIL Open Font License 1.1 — which are governed by their own licenses. Their notices and texts are installed alongside the Software (by default in C:\Program Files\dhreian\eqlypse: the THIRD_PARTY_NOTICES.md file and the licenses folder). Nothing in this Agreement restricts the rights those licenses give you over each component.

8.3. VST is a registered trademark of Steinberg Media Technologies GmbH. Windows is a trademark of the Microsoft group of companies. Other trademarks mentioned belong to their owners and are used only to identify compatibility.

8.4. If you send us feedback or suggestions, we may use them without obligation or payment to you.

9. Updates and support

9.1. dhreian may publish updates to the Software. Your license includes all updates to version 1.x (and those released before 1.0); a later major version may require a new license or a paid upgrade. The Software does not look for or install updates by itself: you download and install new versions yourself.

9.2. We offer email support at contact@dhreian.com, on a reasonable-effort basis. We do not guarantee response times or compatibility with every DAW, Windows version or configuration. The requirements are: Windows 10 (version 1607) or later, 64-bit (x64) and a host that loads VST3 plugins.

10. No warranties

10.1. The Software is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, freedom from errors, uninterrupted operation or compatibility with your computer or DAW.

10.2. An equalizer can produce high signal levels. You are responsible for protecting your hearing and your equipment (for example, by turning down your monitors before trying new settings) and for keeping backups of your projects.

10.3. The above does not exclude or limit any warranties or rights that the law does not allow to be excluded, for example the non-waivable rights of consumers in your country of residence.

11. Limitation of liability

11.1. To the maximum extent permitted by law, dhreian is not liable for indirect, incidental, special or consequential damages, or for lost profits, loss of data, projects or clients, or damage to equipment or hearing, arising from the use of or inability to use the Software.

11.2. dhreian's total liability for any claim related to the Software will not exceed the price you paid for the license.

11.3. These limitations do not apply to liability that the law does not allow to be limited (for example, for willful misconduct, gross negligence or harm to persons) and do not affect consumers' non-waivable rights.

12. Term and termination

12.1. The license lasts as long as you comply with this Agreement. You may end it at any time by uninstalling the Software and ceasing to use it; ending it does not entitle you to a refund.

12.2. dhreian may terminate it and disable your key if you breach this Agreement (for example, you share your key, use it on more computers than permitted or circumvent the licensing system) or if your payment is reversed (chargeback, fraud or a refund issued by Lemon Squeezy). Where reasonable, we will notify you first and give you a chance to remedy the breach.

12.3. When the license ends you must stop using the Software and uninstall it. The sections that by their nature should survive remain in force (8, 10, 11, 15 and 16).

13. Privacy

The Software connects to the internet only to activate, verify and deactivate your license, and it does so only with Lemon Squeezy (api.lemonsqueezy.com); it includes no telemetry or advertising. What data is sent and how it is handled is described in the Privacy Policy.

14. Changes to this Agreement

We may update this Agreement, for example when releasing new versions of the Software or because of legal changes. The current version will always be published at https://dhreian.com/en/eqlypse/eula, with its date. Changes apply to the versions of the Software you obtain or install after they are published; if you disagree, you may keep using the version you already have under the terms on which you acquired it.

15. Governing law and disputes

This Agreement is governed by the laws of Chile, and disputes arising from it will be submitted to the ordinary courts of the city stated in section 1. If you use the Software as a consumer, this does not deprive you of the protection of the mandatory rules of the country where you live, or of the right to go to the courts of your place of residence where the law allows it. Before starting any claim, write to us at contact@dhreian.com: nearly everything gets sorted out by email.

16. General provisions

  • Entire agreement. This Agreement, together with the Refund Policy and the Privacy Policy, is the entire agreement between you and dhreian regarding the Software.
  • Severability. If any provision is invalid or unenforceable, the rest remains in force.
  • No waiver. dhreian's failure to exercise a right does not mean it waives it.
  • Assignment. dhreian may assign this Agreement to whoever continues the business (for example, a company its owner incorporates), notifying you. You may not assign it without our written consent.
  • Languages. This Agreement is published in Spanish and English. If the versions differ, the Spanish version prevails.
